S&P Dow Jones Indices, the provider of benchmark indexes such as the S&P 500, is considering adjustments to its index methodology for mega-cap companies. Nasdaq has already introduced new rules, including one that could accelerate the inclusion of newly listed large-cap stocks into its Nasdaq 100 index.

Index providers are positioning to capture anticipated mega initial public offerings, as private companies like SpaceX and Anthropic—whose valuations in private markets rival many publicly traded stocks—are among the expected large market debuts in the coming months. Nasdaq has implemented fast entry rules that would allow new mega-cap stocks—defined as those whose market values would rank among the top 40 of the Nasdaq 100—to become eligible for inclusion after only 15 trading days, a significant reduction from the previous waiting period of up to a year. S&P Dow Jones Indices is also evaluating changes to its inclusion criteria that could permit mega-cap companies to enter its indexes more quickly.

These moves reflect index providers’ desire to maintain the relevance of their products for investors amid rapidly evolving public markets, especially given strong demand for high-growth and technology shares. However, concerns have been raised about potential ripple effects on benchmark indexes that are linked to trillions of dollars in mutual funds and exchange-traded funds held in retirement accounts and pensions. For instance, the Vanguard S&P 500, iShares Core S&P 500, and SPDR S&P 500 ETFs collectively manage approximately $2.5 trillion in assets.

Rich Lee, Baird’s Head of Program Trading and Execution Strategy, commented that if the objective is to capture the largest market-cap stocks, such changes help keep indexes more relevant. He noted that the risk is that a fast-tracked stock may not receive the same time and thorough vetting that an index provider would normally apply.

Many investors hold index funds tied to the S&P 500 and Nasdaq. Some may not want their retirement funds invested in newly listed stocks, regardless of the company’s profile. S&P Dow Jones Indices stated last week in a proposal that it is consulting market participants about altering how mega-cap companies qualify for its indexes. It defines mega caps as companies with market capitalizations equal to or greater than the 100th largest company in the S&P Total Market Index, which currently sets the threshold at about $110 billion.
