(OTCQB:CASXF)(FSE:0CM) has announced anon-brokered private placementto raiseup toCAD4 million, comprising flow-through and non-flow-through units. The financing is expected to provide funds forCanadian exploration expendituresandexploration activities across the companys properties.

Flow-Through Financing TargetsCAD2.5 Million

Under the proposed financing, Casa Minerals plans to issue up to25 million flow-through units atCAD0.10 per unit, generating gross proceeds of up toCAD2.5 million.

Each flow-through unit will comprise one flow-through share plus half of one non-flow-through share purchase warrant. Each whole warrant entitles the holder to purchase one additional non-flow-through share at an exercise price of CAD 0.15apiece. The warrants will be exercisable for 24 months from the issuance date.

The capital raised through the flow-through offering is expected to be allocated to Canadian exploration expenses and other qualifying flow-through mining expenditures as defined under subsection 127(9) of the Canadian Income Tax Act.The company intends to renounce these eligible expenditures in favour of investors for the financial year ending December 31, 2027.

AdditionalCAD1.5 Million Non-Flow-Through Offering

The company also proposes to issue up to21,428,571 non-flow-through units atCAD0.07 per unit, for gross proceeds of approximatelyCAD1.5 million.

Each unit will includeone common share along withone common share purchase warrant. Each warrant will be exercisable atCAD0.125 per share for 2yearsfrom theissuancedate.

Proceeds from this portion of the financing will be used primarily forexploration activities at its properties, along with general working capital requirements.

All securities issued under the financing will be subject to a four-month hold period.

Warrant Terms and Financing Conditions

The companymay accelerate the expiry of the warrants if its common shares achieve avolume-weighted average trading price of at leastCAD0.20 for five consecutive trading days. If the company exercises this provision, the warrants will expire30 days after written notice of accelerationis provided through a press release.

The financing will includeinsider participation, with certain directors potentially subscribing to the offering.Finders fees may be paid on a portion of the financing, subject to acceptance by the TSX Venture Exchange. Furthermore, the proposed financing remains subject to acceptance by the TSX Venture Exchange.
